Platform.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") — whether accessing the platform personally or on behalf of an organisation — and Play Pause Post, Inc. ("Play Pause Post," "we," "our," or "us"), governing your access to and use of our video analytics platform, website, APIs, embedded player, and all related services (collectively, the "Services").

By registering an account, accessing, or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use immediately.

1. Eligibility and Account Registration

1.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract under applicable Indian law to use our Services. If you are registering on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1.2 Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your login credentials confidential and not share them with any third party.
• Notify us immediately at support@playpausepost.in of any unauthorised use of your account.

You are solely responsible for all activity that occurs under your account.

2. Description of Services

Play Pause Post is a video analytics platform that enables businesses and content creators to understand audience engagement with video content. Our Services include, but are not limited to:

• Video hosting, embedding, and playback infrastructure.
• Audience engagement analytics including play/pause/skip heatmaps, watch-time reports, and drop-off analysis.
• Interactive video overlays, calls-to-action, and chapter markers.
• API access for integration with third-party platforms and tools.
• Dashboard and reporting tools for business intelligence.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable prior notice where practicable.

3. Subscription Plans and Payment

3.1 Plans

We offer free and paid subscription plans. Details of features, limits, and pricing are available on our pricing page and may be updated from time to time. Continued use of a paid plan after a price change constitutes acceptance of the new pricing.

3.2 Billing

• Paid subscriptions are billed in advance on a monthly or annual cycle as selected at checkout.
• All fees are exclusive of applicable taxes (including GST) unless stated otherwise.
• Payment is processed through our PCI-DSS compliant payment partners. We do not store full card details.
• Invoices are issued electronically and sent to your registered email address.

3.3 Refunds

Subscription fees are non-refundable except as required by applicable law or as expressly stated in your subscription agreement. In the event of a billing error, please contact us within 30 days at billing@playpausepost.in.

4. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Upload, transmit, or share content that is unlawful, defamatory, obscene, harmful to minors, or that infringes any third-party intellectual property rights.
• Use the Services to distribute malware, phishing content, or any other malicious code.
• Attempt to gain unauthorised access to any part of the Services, our servers, or any system connected to our platform.
• Reverse-engineer, decompile, or attempt to extract the source code of our platform.
• Use automated bots, scrapers, or similar tools to access or extract data from the Services without our prior written consent.
• Resell, sublicense, or otherwise commercialise access to the Services without explicit written authorisation from us.
• Use the Services in a manner that violates the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, or any other applicable Indian law.

We reserve the right to suspend or terminate your access immediately if we determine, at our sole discretion, that you have violated this Acceptable Use Policy.

5. User Content

5.1 Ownership

You retain all intellectual property rights in the video content, data, and materials you upload to our platform ("User Content"). These Terms do not transfer ownership of your User Content to us.

5.2 Licence to Play Pause Post

By uploading User Content, you grant Play Pause Post a non-exclusive, royalty-free, worldwide licence to host, store, process, transcode, display, and transmit your User Content solely to the extent necessary to provide the Services to you. This licence terminates when you delete the content or close your account, subject to our data retention obligations.

5.3 Your Responsibilities

You represent and warrant that:

• You own or have all necessary rights and licences to upload and use the User Content.
• Your User Content does not violate the rights of any third party, including copyright, trademark, privacy, or publicity rights.
• Where your User Content contains personal data of third parties (e.g., viewers, subjects of videos), you have obtained all necessary consents and comply with the DPDP Act, 2023.

6. Intellectual Property

All rights in the Play Pause Post platform, including its source code, software, algorithms, designs, trademarks, logos, documentation, and analytics methodologies (collectively, "Play Pause Post IP"), are owned by or licensed to us. Nothing in these Terms transfers any Play Pause Post IP to you.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during the term of your subscription. This licence does not permit you to create derivative works, copy, or commercially exploit any Play Pause Post IP.

7. Data and Privacy

Our collection and use of personal data in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge and agree to our data practices as described therein.

Where you use our embedded player on your own website or application, you are an independent Data Fiduciary under the DPDP Act, 2023 in respect of your end users. You are solely responsible for:

• Providing adequate privacy notices to your end users.
• Obtaining valid consent for data collection where required.
• Complying with all applicable data protection laws in relation to your end users' data.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Neither party will disclose Confidential Information to any third party without prior written consent, except as required by law or to its employees and advisors on a need-to-know basis.

This obligation does not apply to information that is or becomes publicly known through no fault of the receiving party, or that was independently developed without use of Confidential Information.

9. Disclaimers and Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Services will be uninterrupted, error-free, or free of viruses or other harmful components.
• The results obtained from using the Services will be accurate or reliable.
• Any errors in the Services will be corrected within a specified timeframe.

Some jurisdictions do not allow the exclusion of implied warranties. To the extent such warranties cannot be excluded under applicable Indian law, they are limited to the minimum extent permitted.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Play Pause Post and its directors, officers, employees, agents, and licensors shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, goodwill, or business opportunities.
• Damages arising from unauthorised access to or alteration of your data.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Play Pause Post in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Play Pause Post and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Services in violation of these Terms.
• Your User Content, including any infringement of third-party intellectual property or privacy rights.
• Your violation of any applicable law, including the DPDP Act, 2023, in relation to your end users.

12. Term and Termination

12.1 Term

These Terms remain in effect from the date you first access the Services until terminated by either party.

12.2 Termination by You

You may cancel your subscription and close your account at any time through your account settings or by contacting support@playpausepost.in. Cancellation takes effect at the end of your current billing period.

12.3 Termination by Us

We may suspend or terminate your access immediately, with or without notice, if you breach these Terms, fail to pay fees when due, or if we are required to do so by law.

12.4 Effect of Termination

Upon termination, your right to access the Services ceases immediately. We will handle your data in accordance with our Privacy Policy and applicable retention obligations. Sections that by their nature should survive termination (including Sections 5, 6, 8, 9, 10, 11, and 14) shall survive.

13. Changes to Terms

We may modify these Terms from time to time. Where changes are material, we will:

• Post the revised Terms with an updated effective date.
• Notify you via your registered email address or an in-app notification at least 15 days before the changes take effect.

Continued use of the Services after the effective date constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Services and close your account before the effective date.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India. The language of arbitration shall be English.

Notwithstanding the above, either party may seek urgent injunctive or equitable relief from a competent court of jurisdiction in India.

15. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Play Pause Post regarding the Services and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond their reasonable control, including natural disasters, government actions, or internet outages.
• Language: These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
